FunnelSafeAI provides compliance-focused services designed to help agencies, media buyers, and advertisers protect their ad accounts, funnels, and customer data. Our services include, but are not limited to:

• •Ad Compliance Guardrails: Review and analysis of ad copy, creatives, and claims to identify policy triggers before campaigns go live, covering platforms including Meta, Google, TikTok, LinkedIn, Snapchat, and Pinterest.
• •Funnel & PII Safety: Identification of where funnels collect, transmit, or expose sensitive data in ways that may violate platform policies or regulatory requirements, including CCPA/CPRA, GDPR, and TCPA compliance scanning.
• •Ongoing Monitoring & Support: Continuous monitoring of policy changes, enforcement shifts, and regulatory updates, with proactive alerts and actionable recommendations.

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice to active subscribers.

3. Eligibility

Our services are intended for use by businesses, agencies, and professionals. You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our services. By using our services, you represent and warrant that you meet these eligibility requirements.

4. Account Registration

To access certain features of our services, you may be required to create an account. When creating an account, you agree to:

Pricing is subject to change with 30 days' written notice to active subscribers. Changes will not affect the current billing period.

6. Payment Terms

• •Billing: Subscription fees are billed in advance on a monthly or annual basis, depending on the plan selected. One-time service fees are billed upon completion of the engagement.
• •Payment Methods: We accept major credit cards and other payment methods as displayed at checkout. All payments are processed through secure third-party payment processors.
• •Taxes: All fees are exclusive of applicable taxes. You are responsible for any taxes, duties, or levies imposed by your jurisdiction.
• •Refunds: Subscription fees are non-refundable except where required by applicable law. If you are dissatisfied with our services, please contact us within 14 days of your initial purchase to discuss resolution options.
• •Late Payments: We reserve the right to suspend access to services for accounts with overdue payments. A late fee of 1.5% per month may be applied to outstanding balances.

7. Client Obligations

As a user of our services, you agree to:

• •Provide accurate and complete information for compliance reviews, including ad copy, creative assets, funnel URLs, and data flow documentation.
• •Not use our services for any unlawful purpose or in violation of any applicable laws or regulations.
• •Not attempt to reverse-engineer, decompile, or disassemble any part of our platform or tools.
• •Not share your account credentials with unauthorized parties.
• •Not use our compliance reports or recommendations to mislead platforms, regulators, or consumers.
• •Implement recommended compliance fixes in a timely manner and acknowledge that failure to do so may result in enforcement actions by platforms or regulators for which FunnelSafeAI bears no responsibility.

8. Intellectual Property

8.1 Our Intellectual Property

All content, features, functionality, software, text, graphics, logos, and trademarks on our website and platform are owned by FunnelSafeAI or our licensors and are protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any of our proprietary materials without our prior written consent.

8.2 Your Content

You retain ownership of all materials you submit to us for compliance review (ad copy, creatives, funnel content, etc.). By submitting materials, you grant us a limited, non-exclusive license to use, analyze, and process such materials solely for the purpose of providing our services to you.

8.3 Compliance Reports

Compliance reports, recommendations, and deliverables generated by FunnelSafeAI are licensed to you for your internal business use only. You may not resell, redistribute, or publicly share our reports without our written consent, except as necessary to implement compliance recommendations within your organization.

9. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information exchanged during the course of the service relationship. Confidential information includes, but is not limited to:

• •Business strategies, marketing plans, and campaign data
• •Customer lists, lead data, and conversion metrics
• •Compliance findings, risk assessments, and remediation plans
• •Technical infrastructure details and data flow documentation

This confidentiality obligation survives termination of the service relationship for a period of two (2) years.

While we strive to provide accurate and thorough compliance analysis, we cannot guarantee that following our recommendations will prevent all platform enforcement actions, account suspensions, regulatory penalties, or other adverse outcomes. Advertising platform policies and regulatory requirements change frequently, and enforcement decisions are made at the sole discretion of the respective platforms and regulators.

10.3 Limitation of Liability

To the maximum extent permitted by applicable law, FunnelSafeAI and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to your use of our services, regardless of the theory of liability.

Our total aggregate liability for any claims arising out of or related to these Terms or our services shall not exceed the total fees paid by you to FunnelSafeAI during the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless FunnelSafeAI and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your infringement of any third-party rights; or (e) any content or materials you submit to us for review.

12. Termination

• •By You: You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period.
• •By Us: We may suspend or terminate your access to our services immediately if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law.
• •Effect of Termination: Upon termination, your right to use our services ceases immediately. We will retain your data in accordance with our Privacy Policy and applicable data retention requirements. Sections regarding intellectual property, confidentiality, disclaimers, indemnification, and dispute resolution survive termination.

13. Dispute Resolution

• •Informal Resolution: Before initiating any formal dispute resolution process, you agree to first contact us at [email protected] to attempt to resolve the dispute informally. We will make good-faith efforts to resolve any dispute within 30 days.
• •Governing Law: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which FunnelSafeAI is incorporated, without regard to conflict of law principles.
• •Arbitration: Any dispute that cannot be resolved informally shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration association. The arbitration shall be conducted in English and the decision shall be final and binding.
• •Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. General Provisions

• •Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and FunnelSafeAI regarding the use of our services.
• •Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• •Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• •Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
• •Force Majeure: Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or internet disruptions.
• •Modifications: We reserve the right to modify these Terms at any time. Material changes will be communicated with at least 30 days' notice. Continued use of our services after changes take effect constitutes acceptance of the modified Terms.
